Terms, Conditions and License Agreement

• All orders must be paid by credit card.
• Orders will not ship before credit charges have been approved.
• Acceptable credit cards are: VISA, MasterCard.
• All footage sales are final. Except for material defects, there are no refunds on footage sales.
• Footage cannot be returned

Reelcities, Inc. License Agreement
This is a legal agreement between you (“Licensee”) and Reelcities Inc.
Please read it carefully.

By this Agreement, Reelcities Inc., grants to you a royalty free non-exclusive license to use, copy, reproduce, and distribute the enclosed stock footage in any medium, computer program or presentations so long as it is not the primary part of the presentation or program. This license includes the right to broadcast and incorporate the footage into any program, worldwide and in perpetuity. You may include the footage in programs and presentations, which you resell, as long as that program contains the same restrictions on use as contained herein and does not allow the purchaser to resell or use the footage in another application. When you use these footage, you must include Reelcities Inc.'s, copyright notice. Any breach of the terms of this agreement by the licensee or his assigns, terminates all rights granted by this agreement.

The footage you have purchased is owned by Reelcities Inc., and is protected by the United States Copyright laws and international treaty provisions. Licensee does not acquire any ownership rights in the footage. You must treat this footage like any other copyrighted material, except that you may either make one copy of the footage solely for backup or archival purposes or transfer the footage to a single hard disk, provided you keep the original solely for backup or archival purposes. Purchase of this footage constitutes a license for use only as described in this agreement and does not constitute ownership of the footage. Reelcities Inc. retains title, as well as the copyrights, to the footage and all of its components.

Permitted Usage
You are not allowed to sub-license, sell, rent, lease, resell, redistribute or provide to others any portion of the footage or its accompanying materials. You may not use the footage in any way that might be considered defamatory, libelous, obscene, immoral or illegal. This includes the use of the footage for pornographic purposes. If there are any incidental trademarks or logos contained in the footage, you may not alter these items or use them in any way which implies an association with or an endorsement by the owner(s) of such trademarks, and the inclusion of these incidental trademarks in the footage does not in any way imply such association with or endorsement of this footage. All trademarks and service marks remain the exclusive property of the trademark or service mark proprietor. Any music which may be included with the footage, is ambient sound only. It was not recorded and is not compressed in a format suitable for any other use, and Reelcities Inc., authorizes no use. Additionally, audio to certain performance sections may require additional clearances from performer. Reelcities Inc., authorizes no use of copyrighted music or performances. You may not reverse engineer, decompile, or disassemble the footage. The images on the footage may not be shared by creating a database, disc library, image storage jukebox, network configuration or similar arrangement.

Limited Warranty
Reelcities Inc. warrants the footage to be free from defects in material and workmanship for 30 days from the date of receipt. The sole and exclusive remedy for a breach of the foregoing Limited Warranty is the replacement of the footage or refund of the purchase price, at Reelcities, Inc.’s option.

Disclaimers
To the maximum extent permitted by applicable law, REELCITIES, INC. DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Because some states do not allow limitations on duration of an implied warranty, or the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to you and you may have other rights which vary from state to state.

Limitation of Liability
In no event will Reelcities Inc. (its officers, directors, employees or agents) be liable to you or any third party for any damages, including but not limited to any lost profits, lost savings, or other incidental or consequential damages arising out of this Agreement or the use of or inability to use the footage.

Indemnification
Licensee assumes full responsibility for the use of the footage. Licensee agrees to defend, indemnify and hold harmless Reelcities Inc. (including its licensors, officers, directors, employees, and agents) against all claims, lawsuits, demands, damages, torts, loss, liability, or expenses (including attorney's reasonable fees) arising out of Licensee's use of the footage or by reason of any breach of this Agreement.

Governing Law and Choice of Forum
This Agreement shall be governed and construed in accordance with the laws of the State of Delaware. Licensee agrees that any legal action or proceeding between Reelcities, Inc. and licensee for any purpose concerning this Agreement or the parties’ obligations hereunder shall be instituted only in the state or federal courts in the County of Sussex, Delaware. Licensee consents to jurisdiction in Sussex County, Delaware.
